Agreement<\/strong><\/span><\/h2>\n<p><span style=\"color: #000000\"><strong>Legally Binding Participation Terms<\/strong><\/span><\/p>\n<p><span style=\"color: #000000\">This Agreement (\u201cAgreement\u201d) is entered into between the undersigned Referral Partner (\u201cPartner\u201d) and Source For Hire, LLC (\u201cSFH\u201d), a Virginia limited liability company, for participation in the Source For Hire Referral Network (\u201cReferral Network\u201d).<\/span><\/p>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>1. Purpose &amp; Scope<\/strong><\/span><\/h3>\n<p><span style=\"color: #000000\">Partner agrees to participate in the Referral Network for the purpose of referring employers and\/or candidates to SFH. Partner understands that they are not acting as a recruiter, employee, or agent of SFH and will only be eligible for the referral fee described in this Agreement if all eligibility conditions are met.<\/span><\/p>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>2. Referral Fee Structure<\/strong><\/span><\/h3>\n<ul>\n<li>\n<p><span style=\"color: #000000\">Partner shall receive a <strong>flat referral fee of $1,000 USD<\/strong> per qualifying referral.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">A \u201cqualifying referral\u201d is defined as:<\/span><\/p>\n<ol>\n<li>\n<p><span style=\"color: #000000\"><strong>Employer Referrals<\/strong> \u2013 The employer must:<\/span><\/p>\n<ul>\n<li>\n<p><span style=\"color: #000000\">Register with the Source For Hire Employer Network.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Post at least one job opening.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Have that job successfully filled by SFH.<\/span><\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p><span style=\"color: #000000\"><strong>Candidate Referrals<\/strong> \u2013 The candidate must:<\/span><\/p>\n<ul>\n<li>\n<p><span style=\"color: #000000\">Be referred only for an <strong>active job opening<\/strong> posted through SFH.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Clearly identify the Partner as their source of referral.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Be successfully hired by the employer.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Remain employed through the employer\u2019s <strong>selected warranty period<\/strong>.<\/span><\/p>\n<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<\/li>\n<\/ul>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>3. Payment Terms<\/strong><\/span><\/h3>\n<ul>\n<li>\n<p><span style=\"color: #000000\">Referral fee payments will be made at the <strong>beginning of the month following<\/strong> the month in which:<\/span><\/p>\n<ul>\n<li>\n<p><span style=\"color: #000000\">SFH has collected the full placement fee from the employer, and<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">The warranty period for the candidate\u2019s employment has been satisfied.<\/span><\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Payments will be issued via direct deposit, PayPal, or check, as agreed.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Partner is responsible for providing accurate payment and tax documentation.<\/span><\/p>\n<\/li>\n<\/ul>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>4. Candidate &amp; Employer Attribution<\/strong><\/span><\/h3>\n<ul>\n<li>\n<p><span style=\"color: #000000\">Employer and candidate referrals must be submitted via the designated SFH referral form or other approved method.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Attribution will be determined by timestamped submission and confirmation by the employer\/candidate.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">Duplicate submissions will be resolved in favor of the first valid referral received.<\/span><\/p>\n<\/li>\n<\/ul>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>5. Confidentiality &amp; Non-Circumvention<\/strong><\/span><\/h3>\n<p><span style=\"color: #000000\">Partner agrees not to contact employers or candidates directly for the purpose of circumventing SFH. All referral-related communications must occur through SFH channels. Breach of this clause may result in forfeiture of fees and removal from the Referral Network.<\/span><\/p>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>6. Term &amp; Termination<\/strong><\/span><\/h3>\n<ul>\n<li>\n<p><span style=\"color: #000000\">This Agreement is valid for one (1) year from the date of execution and auto-renews annually unless terminated in writing by either party.<\/span><\/p>\n<\/li>\n<li>\n<p><span style=\"color: #000000\">SFH reserves the right to revoke Partner participation at any time for breach of terms, misconduct, or misrepresentation.<\/span><\/p>\n<\/li>\n<\/ul>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>7. Legal Venue &amp; Arbitration<\/strong><\/span><\/h3>\n<p><span style=\"color: #000000\">This Agreement shall be governed by the laws of the Commonwealth of Virginia. Venue for any legal disputes shall be Henrico County, Virginia. Parties agree to resolve disputes through binding arbitration, waiving jury trial rights.<\/span><\/p>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>8. Indemnification<\/strong><\/span><\/h3>\n<p><span style=\"color: #000000\">Partner agrees to indemnify and hold harmless SFH from any claims, damages, or liabilities arising from false referrals, misrepresentation, or breach of this Agreement.<\/span><\/p>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>9. Equal Opportunity &amp; Ethics<\/strong><\/span><\/h3>\n<p><span style=\"color: #000000\">Partner agrees to comply with all applicable laws, regulations, and ethical standards when making referrals. SFH is an equal opportunity employer and recruiting platform.<\/span><\/p>\n<hr \/>\n<h3><span style=\"color: #000000\"><strong>10. Program Changes<\/strong><\/span><\/h3>\n<p><span style=\"color: #000000\">SFH reserves the right to modify or discontinue the Referral Network at any time, with or without notice.
